Rovio Entertainment Corporation (the “Company”) has received a notification pursuant to Chapter 9, Section 5 of the Securities Markets Act from Sega Sammy Holdings Inc. According to the notification, the holding of Sega Europe Limited in the Company’s shares and votes increased above the 2/3 threshold on August 17, 2023.

Sega Europe Limited has completed its cash tender offer for all of the issued and outstanding shares and options in Rovio Entertainment Corporation. Based on the final result of the offer, the 73,397,174 shares in Rovio validly tendered in the offer represent approximately 96.3 percent of all issued and outstanding shares and votes in Rovio (i.e., excluding the 6,784,762 treasury shares held by Rovio). Trades regarding the tendered shares and options were executed on August 17, 2023.
